1. Acceptance of Terms

By accessing or using the LexiCheck platform ("Service") operated by LexiCheck Pty Ltd (ABN pending) ("LexiCheck", "we", "us", "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.

2. Description of Service

LexiCheck is an automated compliance checking platform that analyses websites and documents for potential issues under the Australian Consumer Law (ACL), as administered by the Australian Competition and Consumer Commission (ACCC). The Service uses artificial intelligence, including large language models and retrieval-augmented generation, to identify potential compliance concerns.

3. Important Disclaimer

The Service provides automated preliminary assessments only and does not constitute legal advice. LexiCheck is not a law firm and does not provide legal services. The compliance analysis generated by the Service:

  • Is produced by artificial intelligence and may contain errors, omissions, or inaccuracies.
  • Should not be relied upon as a definitive determination of legal compliance.
  • Does not replace professional legal advice from a qualified Australian legal practitioner.
  • May not reflect the most current legislation, case law, or regulatory guidance.

You should always seek independent legal advice before making decisions based on the Service's analysis. LexiCheck accepts no liability for decisions made in reliance on the Service's output.

4. Account Registration

To use the Service, you must:

  • Register for an account with a valid email address and secure password.
  • Provide accurate and complete registration information.
  • Maintain the security and confidentiality of your account credentials.
  • Notify us immediately of any unauthorised access to your account.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the Service to:

  • Scan websites or content you do not own or have authorisation to analyse.
  • Submit content that is illegal, harmful, threatening, abusive, or otherwise objectionable.
  • Attempt to gain unauthorised access to the Service, other accounts, or connected systems.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Use the Service for any purpose that violates applicable Australian or international law.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use automated tools (bots, scrapers) to access the Service beyond its intended interfaces.

6. Intellectual Property

The Service, including its software, design, text, graphics, and other content, is owned by LexiCheck and protected by Australian and international intellectual property laws. You retain ownership of any content you submit to the Service (websites, documents). By submitting content, you grant us a limited licence to process that content solely for the purpose of providing the Service.

Compliance reports generated by the Service are provided for your use and may be shared within your organisation. You may not resell, redistribute, or commercially exploit the reports or the underlying analysis methodology without our written consent.

7. Service Availability

We aim to provide a reliable and available Service, but do not guarantee uninterrupted or error-free operation. We may suspend, modify, or discontinue the Service (or any part of it) at any time for maintenance, upgrades, or other operational reasons. We will endeavour to provide reasonable notice of planned outages where practicable.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

9. Fees and Payment

LexiCheck may offer free and paid subscription tiers. Details of pricing, features, and billing terms will be communicated through the platform. We reserve the right to change pricing with reasonable notice. All fees are stated in Australian Dollars (AUD) and are inclusive of GST where applicable.

10. Limitation of Liability

To the maximum extent permitted by Australian law, including the Australian Consumer Law:

  • LexiCheck's total liability to you for any claim arising from or relating to the Service is limited to the amount you have paid us in the 12 months preceding the claim, or $100 AUD, whichever is greater.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunity, or goodwill, even if advised of the possibility of such damages.
  • We are not liable for any loss or damage arising from reliance on the automated compliance analysis provided by the Service.

Nothing in these Terms excludes or limits any rights you may have under the Australian Consumer Law that cannot be excluded or limited by contract.

11. Indemnification

You agree to indemnify and hold harmless LexiCheck, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third party's rights.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will continue to apply.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Australia and the State of New South Wales. You agree to submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising under these Terms.

14. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via the platform or email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
